Explanation of Responses:
(1)  Represents restricted stock units that vest on the earlier of July 1, 2020 or the date of the Issuer's 2020 annual meeting of stockholders, subject to the Reporting Person's continued service on the Issuer's Board of Directors.
(2)  On August 18, 2017, the reporting person transferred 8,614 shares of Benefitocus, Inc. common stock to the Stephen M. Swad Revocable Living Trust, of which the reporting person and his wife are trustees and beneficiaries. The reporting person shares voting and investment control over these shares.
