Court Meeting of Shareholders and General Meeting of Shareholders

As previously disclosed in the Report of Foreign Private Issuer on Form 6-K filed on July 1, 2021 by Atotech Limited, a Bailiwick of Jersey company (the “Company”), on July 1, 2021, the Company entered into a definitive agreement with MKS Instruments, Inc., a Massachusetts corporation, providing for, subject to the terms and conditions of such implementation agreement, the acquisition of the Company by MKS, which is expected to be implemented by means of a scheme of arrangement (the “Scheme Document”) under the laws of Jersey.

The Company today issued a press release announcing the publication of the Scheme Document, together with the related form of proxy and the virtual meeting guide, in connection with the court meeting of the Company’s shareholders (the “Court Meeting”) and general meeting of the Company’s shareholders (the “General Meeting”). The Court Meeting and the General Meeting, which will each be held on November 3, 2021, are required, amongst other things, in order for the Scheme Document to become effective. A copy of the press release is furnished as Exhibit 99.1 hereto.

A copy of the Scheme Document, notice of the Court Meeting, notice of the General Meeting, the virtual meeting guide and form of proxy card for the Court Meeting and General Meeting are furnished as Exhibits 99.2, 99.3, 99.4, 99.5 and 99.6 hereto.
