the publication of the supplement to the prospectus dated November
11, 2021 (the “Prospectus”) in connection with the intended
admission to trading and listing of its common shares (“Common
Shares”) on the regulated market of Euronext Milan (“Admission”) in
the context of the intended separation of the relevant business
segments from CNH Industrial N.V. (“CNH Industrial”) to the Company
by way of a Dutch law statutory demerger (afsplitsing) (the
“Demerger”). The supplement to the prospectus is dated December 22,
2021 (“Supplement“) and made available, inter alia, in connection
with the publication of the Company’s 2021 interim condensed
combined financial statements for the nine months ended September
30, 2021, as derived from the combined consolidated financial
statements of CNH Industrial for the same period as published by
CNH Industrial on November 4, 2021, and forward-looking statements
and profit forecasts as presented at the Iveco Group Investor Day
held on November 18, 2021.
Listing of and first trading on an
‘as-if-and-when-delivered’ basis in the Common Shares on Euronext
Milan under symbol IVG is expected to commence on January 3, 2022
