Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Franklin K. Clyburn, Jr. has tendered his resignation as a member of the Board of Directors of DuPont de Nemours, Inc. (the “Company”) effective January 20, 2022, in connection with his appointment as Chief Executive Officer and Director of International Flavors & Fragrances Inc. effective February 14, 2022. Mr. Clyburn’s departure is not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
