Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On March 14, 2022, Universal Insurance Holdings, Inc. (the “Company”) appointed Gary L. Ropiecki to serve as the Company’s Principal Accounting Officer, effective the same day. Mr. Ropiecki, age 66, previously served as the Senior Vice President and Corporate Controller at the Company since 2015 and continues to serve as Corporate Secretary.

There are no arrangements or understanding between Mr. Ropiecki and any other persons pursuant to which he was appointed as Principal Accounting Officer and no family relationship among any of the Company’s directors or executive officers and Mr. Ropiecki. There is no transaction to which the Company is a participant and in which Mr. Ropiecki has a direct or indirect material interest that would be required to be disclosed under Item 404(a) of Regulation S-K.
