Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment
of Principal Officers
On January 24, 2023, James A. Squires, a member of the Board of Directors and former Chief Executive Officer of the Registrant, notified
the Board that he will not stand for re-election to the Board at the Registrant’s 2023 annual meeting of shareholders. Mr. Squires’
term on the Board will expire at the Registrant’s 2023 annual meeting of shareholders. Mr. Squires’ decision is not due to
any disagreement with the Registrant on any matter relating to our operations, policies, or practices.
