On January 27, 2023, HCA Healthcare, Inc. (the “Company”)
issued a press release announcing, among other matters, its results
of operations for the fourth quarter and year ended
December 31, 2022, the text of which is set forth as
Exhibit 99.1.

On January 27, 2023, the Company issued a press release
announcing, among other matters, its results of operations for the
fourth quarter and year ended December 31, 2022, the text of
which is set forth as Exhibit 99.1.
Item 8.01. Other Events.
On January 27, 2023, the Company announced that its Board of
Directors had authorized an additional share repurchase program for
up to $3 billion of the Company’s outstanding common stock.
Repurchases will be made in accordance with applicable securities
laws from time to time in the open market, through privately
negotiated transactions, or otherwise.
On January 27, 2023, the Company also announced that its Board
of Directors had declared a quarterly cash dividend of $0.60 per
share of the Company’s common stock. The dividend will be paid on
March 31, 2023 to stockholders of record at the close of
business on March 17, 2023.
