Other Events.

On August 8, 2022, the Company issued a press release announcing the execution of an agreement and plan of merger providing for the acquisition of the Company by affiliates of Vista Equity Partners in partnership with institutional co-investors, subject to the terms and conditions contained therein. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
