Condition.
On October 27, 2021, the registrant issued a press release and
a detailed earnings presentation announcing its financial results
for the third quarter ended September 30, 2021. The text of
the press release and the earnings presentation are attached hereto
as Exhibit 99.1 and Exhibit 99.2, respectively, and
incorporated herein by reference.

announcing the declaration of a quarterly dividend of $0.47 per
share of its Class A common stock, payable on December 31,
2021 to its Class A common stockholders of record as of
