Resignation of Director
American Financial Group, Inc. (the “Company”) reported on a Form
8-K dated November 10, 2021, that Virginia C. “Gina” Drosos
intended to resign from the Board of Directors (the “Board”) of
American Financial Group, Inc. on December 8, 2021, and Ms. Drosos
formally resigned on that date. Ms. Drosos’s decision to resign
from the Board was made in order to pursue another board service
opportunity and was not as a result of any disagreement with the
Company on any matter relating to the Company’s operations,
policies or practices.
Consulting Agreement with Director
Also as previously reported, in connection with the transition by
James E. Evans from his role as an officer and employee of the
Company to that of executive consultant, in 2014, the Company and
Mr. Evans entered into a consulting agreement which, as amended,
terminates on December 31, 2021. On December 7, 2021, the
Company and Mr. Evans renewed the consulting agreement for 2022 on
the same terms as in effect for 2021.
