Publication of Circular and Notice of Extraordinary General Meeting

The Company announces that it has today published a circular (the "Circular") and notice of extraordinary general meeting (the "Extraordinary General Meeting") in connection with proposals for the issue of New Ordinary Shares. In view of recent developments, as discussed in the Company's announcement dated 7 February 2025 and explained in the Circular, the Board considers it prudent to seek Shareholder approval for a potential Fundraising, to enable the Board to raise equity capital if it concludes that it is in the best interests of the Company to do so. Accordingly, the Company is seeking authority to disapply the pre-emption rights set out in the Company's articles of incorporation in relation to the issue of New Ordinary Shares (or rights to subscribe for New Ordinary Shares) in the capital of the Company.

The Extraordinary General Meeting will be held at 11.00 a.m. on 6 March 2025 at the Company's registered office, 2nd Floor, Lefebvre Place, Lefebvre Street, St Peter Port, Guernsey, GY1 2JP, Channel Islands.
