Dear Sirs,
We refer to Official Letter 665/2023-SLS
("Official Letter"), dated May 5, 2023, in which you requested clarifications from Braskem S.A. ("Braskem" or
"Company”), as transcribed below:
“Dear
Sirs,
The
news report published in the newspaper Valor Econômico on May 5, 2023, entitled “ADNOC of Abu Dhabi joins Apollo in proposal
to buy 100% of Braskem, sources say”, mentions, among other information, that:
1. ADNOC
and Apollo presented their plans this morning (May 5) to the creditor banks of Novonor, the parent company of Braskem;
2. the
potential buyers undertook to formalize an offer to acquire 100% of the stock of the petrochemical company, paying R$47 per share.
We request
clarifications on the above items by May 8, 2023, including your confirmation or denial, as well as any other information deemed relevant.”
In this regard,
Braskem reinforces that it does not conduct any negotiations from its shareholders Novonor and Petrobras ("Shareholders") about
the sale of its equity interests, reason why it questioned its Shareholders, who informed the following:

“In response to your request, Novonor
informs that, since our last statements and until now, it did not receive any proposal from potential interested parties that implies
a material or binding progress in its ongoing discussions with five banks holding the rights to the fiduciary sale of its indirect interest
in Braskem S.A.
We remain at your disposal for further
clarifications.”
Given the atypical oscillation of the Company's shares
recorded on May 05, 2023, the clarifications sent by Novonor to the Company were timely disclosed to the market through a Material Fact
on May 05, 2023, with the halting of trading in the Company's securities.
Furthermore, also in the context of the news published
in the media regarding an eventual proposal to buy the control of Braskem, the Company received complementary information from Novonor
on May 07, 2023, which was disclosed to the market by the Company through a Material Fact on May 08, 2023, as described below:
“Dear Sirs, we hereby inform you
that, after our last message to you, we received a non-binding proposal that will be analyzed together with other interested parties.
We will keep you informed in case of any significant development on the subject.”
“With regard to the media reports, Petróleo Brasileiro
S.A. – Petrobras informs that it is not structuring any sales operation in the private market and is not participating in the negotiations
mentioned in the article.
Petrobras further clarifies that all actions related to its
interest in Braskem require a careful analysis from the perspective of portfolio management and must be conducted in compliance with governance
practices and applicable internal procedures.
The Company reiterates its commitment to full transparency
of its divestment and portfolio management processes and clarifies that material facts will be duly disclosed to the market.”
